REAL ESTATE
The Office specialises in all kinds of deeds, procedures and legal advice related to the real estate sector, assisting private individuals, construction companies and public bodies, both Italian and foreign. With recognised professionalism, it also manages all operations relating to transfer of ownership or of other real rights, such as sales, gifts, exchanges, transactions, grant of a usufructuary or servitude rights, divisions, drafting of preliminary contracts, urban planning agreements, redistribution of areas, implementing acts for property agreements in cases of separation and divorce, as well as rent to buy, buy to rent and help to buy contracts.
The sector includes all deeds related to financing guaranteed with mortgages on real estate, such as simple loans, subrogations and mortgage cancellations.
The Office makes sure it proposes the most advantageous tax solutions for its Clients and guarantees a personalised service that results in the adoption of clauses tailored to each individual case.
FAMILY AND SUCCESSIONS
The Office boasts a specific and consolidated knowledge of all legal instruments with respect to family property law: the choice of matrimonial property regimes, family trust, contractual community property regime, family business succession planning, gifts between spouses or to children, etc.
This guarantees that the Office can reliably guide its Clients' choices of appropriate solutions for protecting their property, in terms of both the property's daily management and succession planning, as well as in the consideration of potential business activities.
Its international experience means it can also guide clients in cases that have an international element (a foreign national with property in Italy, Italian residents with property abroad, the application of international law, etc.).
Spousal representation is offered in even the most sensitive cases, as well as in cases involving children that are minors or incompetent, and includes the filing of appeals in non-contentious proceedings.
Moreover, in matters of succession, the Office offers support in creating public wills and assistance in drafting holographic wills.
After the opening of the succession, all possible procedures relating to it are completed, such as the presentation of declaration of succession, the drafting of statutory declarations, will publication records, deeds of acceptance of inheritance (also with benefit of inventory) or of obtainment of bequest, renunciation of inheritance, adhesion and acquiescence to provision of a will, hereditary division or transfer of inheritance shares.
The Office excels in dealing with international succession procedures, being particularly qualified in identifying applicable law and using both the legal instruments appropriate for making foreign deeds effective in Italy (for example, the filing of documents from abroad, possibly by integrating content that adapts them to Italian legislation), and those necessary for making Italian documents public and effective abroad, such as the instruments introduced by EU Regulation no. 650/2012 (with particular reference to the European Certificate of Succession - ECS).
COMPANY AND BUSINESS
The Office has assisted businesses, Italian and foreign, including listed companies, in all phases of their life, from incorporation and the selection of which legal form to assume, to support in the decision-making phase.
In particular, it takes care of the minutes of meetings, assisting corporate bodies with all related operations, both preliminary and during meetings, drafting minutes in a public format so that they can be registered with the appropriate business register.
The office's demonstrable experience in corporate matters allows it to provide high quality advice about extraordinary operations, in relation to both partnerships and capital companies (such as increases and reductions in share capital, mergers, acquisitions, splits, joint ventures, listing and exit from regulated markets, issuance of bonds, up to the delicate liquidation phase).
The office also specialises in drafting commercial contracts, including international ones, as well as in the sale and leasing of companies and in the various forms of collaboration between companies (network contracts, consortia, temporary associations, cooperation between companies and consultancy on the structuring of groups of companies).
Finally, statutes and shareholder agreements are drawn up containing negotiating clauses designed to meet the needs of the company.
INHERITANCES
The Office offers assistance in matters of estate planning, suggesting legal instruments, Italian or of foreign law (such as real estate funds, assets destined for specific business, trusts, fiduciary registrations, deeds of destination under article 2645 ter, creation of family foundations, life insurance policies with a dedicated fund), suitable for guaranteeing the segregation of the assets of a natural or legal person.
Moreover, the Office offers assistance in the management and maintenance of movable and immovable family assets, providing advice on asset planning and helping natural and legal persons in planning the generational transfer of movable or immovable assets, such as in the transfer of a company.
Finally, it provides assistance to heirs, preventing any potential conflicts through a careful evaluation of the assets at stake and suggesting solutions for hereditary division.
INTERNATIONAL
Tassinari & Damascelli Studio Notarile offers high levels of quality in drafting deeds and providing international legal advice.
In particular, the Office helps its clients with all aspects of cross-border estate planning: from identifying the laws applicable to property relations between couples, heterosexual and homosexual, of mixed nationality or living abroad, to drafting last wills and testaments (including in the form of so-called International Wills), regarding properties located abroad and/or beneficiaries that are foreign or resident abroad, as well as the arrangement of gifts (including those subject to foreign law) and family business succession planning.
Furthermore, in cases of succession to the estate of a deceased person, the Office provides for the release of the European Certificate of Succession pursuant to EU Regulation no. 650/2012.
With regards to asset protection, the Office has developed a broad experience in the creation and management of trusts governed by foreign laws and, more generally, in the fiduciary management of assets.
Finally, in corporate matters, the Office assists Italian and foreign companies in all activities to and from abroad, from the creation of branches in Italy by foreign subjects to the drafting of general meetings' documents, powers of attorney and company documentation in general. It offers a multilingual service and assists with the filing of foreign documents in the Companies, Courts or Public Administration Registers, also providing sworn translations of foreign financial statements.
